Marketplace terms of use
These draft terms describe the intended relationship between TrustPay, buyers, and independent vendors. They are a product-design document, not final legal terms for a live marketplace.
Legal review required: do not represent this draft as approved terms. Nigerian counsel and the payment provider should review the final operating model and documents before launch.
1. Marketplace role
TrustPay intends to operate a technology marketplace that connects buyers with independent third-party vendors. The identified vendor—not TrustPay—is the seller of the listed goods and is responsible for product accuracy, lawful sourcing, stock, dispatch, delivery, warranties, and seller obligations. TrustPay provides discovery, checkout orchestration, order records, policy enforcement, and support.
2. Accounts and verification
Users must provide accurate information and keep access secure. Vendors must complete the published KYC and risk checks before listing or receiving settlement. TrustPay may request updated documents, restrict accounts, or decline onboarding when information cannot be verified or risk is unacceptable.
3. Listings and orders
A vendor must ensure listing descriptions, prices, taxes, stock, delivery estimates, safety notices, and return conditions are accurate. An order is subject to confirmation, fraud screening, inventory, and payment authorization. TrustPay or the vendor may cancel an order where fulfilment is impossible, information is incorrect, or law or risk controls require cancellation.
4. Payments and vendor settlement
The intended production marketplace uses a third-party payment processor. Checkout identifies the applicable vendor subaccount and TrustPay commission. Settlement timing is controlled by the provider’s configuration, banking systems, refunds, chargebacks, and risk review. The marketplace model described here does not promise that TrustPay will hold buyer funds and manually release them after delivery.
5. Delivery
The vendor is responsible for packing and dispatching the order, selecting a suitable courier, recording tracking information where available, and meeting the displayed estimate. Buyers must provide an accurate delivery address and cooperate with reasonable delivery attempts. Delivery confirmation records fulfilment but does not independently trigger manual settlement by TrustPay.
6. Cancellations, returns, and disputes
The marketplace refund policy forms part of these terms. Buyers and vendors must use the order record and provide honest evidence. TrustPay may determine marketplace remedies, but card issuers, banks, payment processors, regulators, and courts may have separate rights and procedures.
7. Fees and revenue
TrustPay intends to earn a disclosed commission from vendor marketplace sales. Seller-facing commercial terms will state the commission before onboarding. Payment-processing fees, delivery charges, taxes, refunds, and chargebacks may be allocated as separately disclosed and permitted by the payment provider and applicable law.
8. Acceptable use
All users must follow the marketplace Acceptable Use Policy. Users must not create sham orders, use sales to transfer money without genuine goods, misrepresent identities or products, manipulate reviews, evade restrictions, or use the marketplace for unlawful or deceptive activity.
9. Suspension and termination
TrustPay may remove listings, pause activity, require documents, restrict an account, cancel orders, or terminate access for policy violations, fraud risk, unlawful conduct, excessive disputes, or failure to cooperate. Where legally and operationally possible, affected users will receive notice and information about any available review route.
10. Changes and contact
Marketplace terms will be dated and updated before live operation. Material changes will be communicated through the website or account. Questions may be sent to support@trustpay.com. Final production terms require review for the actual corporate entity, payment-provider agreement, vendor contract, products, and jurisdictions served.
